Welcome to the Panel Demo ecosystem of technology platforms, investment services, and regenerative capital systems (collectively, the “Services”). These Services are operated by life.ai, LLC, a Colorado limited liability company, and its affiliates, including Regenerative Development Corporation (“RDC”), the Planetary Regenerative Trust (“PRT”), The Place Fund, Zoen, Regenity, and Future City Portal (collectively, “the Company,” “we,” or “us”).
By accessing or using any of our websites, platforms, or services, you (“User,” “you,” or “your”) signify that you have read, understand, and agree to be bound by these Terms of Service, regardless of whether you are a registered member. Please read these Terms carefully before using our Services.
1. Changes to These Terms
We may update these Terms of Service from time to time. We will post the revised Terms on our websites and indicate the effective date at the top of this page. Your continued use of any Service after we post changes constitutes your acceptance of the revised Terms.
2. Eligibility
Our Services are intended solely for users who are at least 18 years of age. By using any Service, you represent and warrant that you are 18 or older and that you agree to abide by all terms herein. Registration by, use of, or access to the Services by any natural person under 18 is unauthorized and in violation of these Terms.
Certain portions of our Services — particularly those relating to viewing or making investments in securities offered through the PRT or Place Fund — are available only to Accredited Investors as defined by Rule 501 of Regulation D under the Securities Act of 1933. Investments in such securities are restricted, illiquid, and high-risk. There is no guarantee of any return. Do not invest amounts you cannot afford to lose in their entirety.
Persons resident outside the United States may access our platforms only where such access does not violate applicable local laws.
3. License and Proprietary Rights
All content on our platforms — including text, graphics, software, images, video, sound, and their selection and arrangement — is our proprietary property with all rights reserved. We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use. You may not modify, copy, distribute, republish, or sell any portion of our content without prior written permission.
We may terminate, disable, or restrict your access to any Service at any time without notice if we believe you have violated these Terms.
4. AI-Assisted Services
Certain Services, including the Life AI platform and Personal AI Liaison (PAL) system, utilize artificial intelligence models and generative AI tools. You acknowledge and agree:
- AI-generated content, recommendations, or analyses are provided for informational purposes only and do not constitute legal, financial, medical, or professional advice.
- AI responses may be inaccurate, incomplete, or outdated. You are responsible for independently verifying any information before acting upon it.
- Interactions with AI systems may be reviewed by our team for safety, quality, and system improvement purposes.
- You must not use AI features to generate illegal, harmful, deceptive, or malicious content.
- Virtue governance rules embedded in our systems (including the RCCS and PAL systems) are not a substitute for your own ethical judgment.
5. Investment Platforms (PRT, Place Fund)
The securities offered through the Planetary Regenerative Trust and The Place Fund have not been registered under the Securities Act of 1933, in reliance on the exemptive provisions of Regulation D, Rule 506, and/or Regulation A. Securities sold through private placements are restricted and not publicly traded.
Neither the U.S. Securities and Exchange Commission nor any state securities commission has approved, passed upon, or endorsed the merits of any offering on our platforms. Investment overviews on our platforms contain summaries for informational purposes only and do not purport to be complete. Potential investors are encouraged to consult with professional tax, legal, and financial advisors before making any investment.
Impact NAV (INAV) figures, five-capitals scores, and regenerative credit valuations are estimates based on methodology developed by RDC and the RCCS framework. They are not audited financial statements and should not be relied upon as representations of actual or future returns.
6. User Conduct
You agree not to:
- Use any Service in a way that violates applicable law or regulation;
- Use automated means to access, scrape, or collect data from our platforms without consent;
- Attempt to gain unauthorized access to any system, account, or network;
- Upload or transmit viruses, malware, or other harmful code;
- Impersonate any person or entity or misrepresent your affiliation;
- Harass, defame, or threaten other users;
- Post or share content that infringes any third-party intellectual property rights;
- Circumvent any technical measures we use to protect our Services;
- Use the Services for commercial solicitation without our written consent.
7. User Content
You retain ownership of content you submit to our Services (“User Content”). By submitting User Content, you grant us an irrevocable, perpetual, non-exclusive, worldwide, royalty-free license to use, copy, modify, display, and distribute such content in connection with operating and improving our Services. You represent that you have all rights necessary to grant this license.
We may review, edit, or remove User Content at our sole discretion without notice.
8. Intellectual Property
Trademarks
“life.ai,” “PRT,” “Planetary Regenerative Trust,” “RDC,” “Regenerative Development Corporation,” “RCCS,” “Zoen,” “Regenity,” “Future City Portal,” and related logos are trademarks of the Company and its affiliates. They may not be used without prior written permission.
DMCA — Copyright Claims
If you believe your copyrighted work has been infringed on any of our platforms, please send a notice to our designated agent at legal@regendevcorp.com. Your notice must include: (1) your signature; (2) identification of the infringed work; (3) your contact information; (4) location of the infringing material; (5) a good-faith belief statement; and (6) a statement of accuracy under penalty of perjury.
9. Electronic Disclosures
By using our Services, you consent to receive all notices, agreements, disclosures, and communications electronically — via our websites or to the email address you provide. If you require paper copies of any disclosure, contact us at the address below.
10. Disclaimers
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY TO YOU FOR ANY CAUSE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $1,000.
12. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates from and against any claims, damages, obligations, losses, costs, and expenses arising from: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right.
13. Governing Law and Arbitration
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will be conducted in English in Delaware. This agreement to arbitrate does not prevent either party from seeking injunctive relief in any court of competent jurisdiction.
14. Miscellaneous
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver. These Terms constitute the entire agreement between you and the Company regarding the Services.

This Privacy Policy describes how life.ai, LLC, Regenerative Development Corporation, the Planetary Regenerative Trust, and affiliated platforms (collectively, “Panel Demo,” “we,” or “us”) collect, use, and share information about you when you use any of our websites, products, or services.

- Content you submit: session inputs to AI systems (PAL, Life AI), feedback, User Content

- Log data: IP address, browser type, operating system, pages visited, time and date of visits, referring URLs
- Device data: device identifiers, hardware model, operating system version
- Cookies and similar tracking technologies (see Section 5)
- Location data: approximate location derived from IP address
- AI interaction data: inputs, outputs, and session metadata from AI-assisted features

2. How We Use Your Information
We use the information we collect to:
- Provide, maintain, and improve our Services;
- Verify your identity and eligibility (including accredited investor status);
- Process investment transactions and disbursements;
- Operate and improve AI-assisted features, including the PAL system and Life AI platform;
- Send transactional and service communications (e.g., confirmations, security alerts);
- Send marketing communications where you have opted in;
- Comply with legal obligations, including anti-money laundering and securities regulations;
- Detect and prevent fraud, abuse, and security incidents;
- Conduct analytics and research to improve our platforms;
- Enforce our Terms of Service.
3. How We Share Your Information
We do not sell or rent your personal information. We may share it with:
- Service providers: Companies that perform services on our behalf (hosting, payment processing, identity verification, analytics, email delivery). They are contractually bound to protect your information.
- Financial and legal partners: Registered broker-dealers, custodians, legal counsel, and auditors, as required to facilitate investment transactions.
- Affiliated entities: Other companies within the RDC / LIFEAI ecosystem where necessary to provide the Services you use.
- Legal authorities: When required by law, court order, or to protect the rights, safety, and property of users, third parties, or the Company.
- Business transfers: In connection with a merger, acquisition, or sale of assets, subject to confidentiality commitments.
- With your consent: In any other case where you give us explicit permission.
4. AI Data Practices
Our AI-assisted platforms (Life AI, PAL system, and related services) process your inputs to generate responses, recommendations, and personalized experiences. Specifically:
- Session data from AI interactions may be retained for safety monitoring, system improvement, and compliance for up to 90 days by default. You may request deletion.
- We do not use your AI session data to train third-party foundation models without your consent.
- Virtue alignment scores and coherence metrics computed during AI sessions are used solely within our platform and are not shared with third parties.
- PAL Moment Window data (90-second session state) is ephemeral and is not persisted beyond the active session unless you explicitly save it.
5. Cookies and Tracking
We use cookies and similar technologies to maintain sessions, remember your preferences, understand how you use our platforms, and support security features. Types of cookies we use:
- Essential cookies: Required for authentication, security, and basic functionality. Cannot be disabled.
- Analytics cookies: Help us understand usage patterns. You may opt out via your browser settings or our cookie preference tool.
- Marketing cookies: Used only where you have opted in to marketing communications.
You may disable non-essential cookies via your browser settings. Disabling cookies may affect the functionality of certain Services.
6. Data Retention
We retain your personal information for as long as your account is active, as needed to provide Services, or as required by applicable law (including securities record-keeping requirements, which may extend to 7 years). After this period, we securely delete or anonymize your data.
7. Your Rights and Choices
Depending on your location, you may have the right to:
- Access the personal information we hold about you;
- Correct inaccurate or incomplete data;
- Request deletion of your data (subject to legal retention requirements);
- Opt out of marketing communications at any time;
- Data portability — receive your data in a machine-readable format;
- Object to or restrict certain processing activities.

We implement industry-standard security measures including encryption in transit (TLS), encryption at rest, multi-factor authentication, access controls, and regular security reviews. However, no system is completely secure. In the event of a data breach affecting your rights and freedoms, we will notify you as required by applicable law.
9. International Data Transfers
Our Services are operated primarily in the United States. If you access our Services from outside the US, your information will be transferred to and processed in the US, where data protection laws may differ from those in your country. By using our Services, you consent to this transfer.
10. Children’s Privacy
Our Services are not directed to or intended for use by children under 18 years of age. We do not knowingly collect personal information from minors. If you believe a minor has provided information to us, please contact us immediately at privacy@regendevcorp.com and we will promptly delete it.
11. Third-Party Links
Our platforms may contain links to third-party websites. We are not responsible for the privacy practices of those sites. We encourage you to review their privacy policies before providing any personal information.
12. Changes to This Policy
We may update this Privacy Policy periodically. We will post the revised policy on our websites and update the effective date above. Material changes will be communicated to registered users by email. Your continued use of our Services after the effective date constitutes your acceptance of the updated policy.
